EL ÓRGANO DE ADMINISTRACIÓN EN LAS SOCIEDADES DE CAPITAL

Abstract

[ES] El modelo de organización corporativa de las sociedades de capital descansa en dos órganos: la junta general y los administradores. El primer órgano es deliberante porque reúne a los socios y da a conocer su voluntad. Mas mi pretensión con este trabajo es acercar al lector el órgano administrativo de estas sociedades. Para lo cual, en primer lugar trataré ciertas cuestiones generales, después hablaré de su conformación, de los deberes y responsabilidad de los administradores, así como del consejo de administración. Finalmente daré unas nociones respecto a la sociedad comanditaria por acciones, pues en ciertos puntos difiere con los otros tipos societarios. Y todo esto, bajo el amparo de la Ley de Sociedades de Capital.

[EN] The model of corporate organization of the capital companies rests in two bodies: General Meeting and the administrators. The first organ is deliberative because expresses the pleasure of the partners. But my goal with this essay is to bring the reader the administrative body of these societies. For this reason, firstly I am going to comment on some general questions, then I will talk about its conformation, the obligations and responsibilities of the administrators, as well as the Management Board. And finally, I am going to give insights into the Partnership Limited by Shares, because in certain items is different with regard to the other types of capital companies. We will study all this under the Spanish law of capital companies.
