EL ÓRGANO DE ADMINISTRACIÓN EN LAS SOCIEDADES DE CAPITAL.

Abstract

[ES] Las sociedades de capital son aquellas constituidas por un conjunto de personas que persiguen una finalidad común. Tanto la Junta General como el Órgano de administración, el cual constituye un órgano necesario y permanente, estructuran dichas sociedades. Éstas quedan reguladas en la Ley de Sociedades de Capital, la cual ha sufrido una reforma para la mejora del gobierno corporativo con la Ley 31/2014, de 3 de diciembre, para velar por el correcto funcionamiento de los órganos de gobierno y administración de las empresas nacionales y así llegar a su máxima competitividad y a su vez generar confianza y transparencia. Los administradores de estas sociedades de capital operan bajo un estatuto jurídico que establece cuáles serán sus deberes, así como sus responsabilidades, quedando regulado en un único texto legal, siendo de gran importancia su estudio para evitar que la Sociedad pueda eludir posibles responsabilidades
