LA CESIÓN GLOBAL DE ACTIVO Y PASIVO EN LA LIQUIDACIÓN Y CIERRE DE LAS SOCIEDADES DE RESPONSABILIDAD LIMITADA

Abstract

[ES] La situación económica, organizativa o de producción de las empresas propicia en ocasiones la necesidad de reorganización o reestructuración de éstas mediante procedimientos que persiguen transmitir de forma rápida y sencilla sus unidades económicas a cambio de una contraprestación. La cesión global de activo y pasivo se presenta como instrumento frecuente y simple en la transmisión de empresas. Pero hasta llegar a su actual configuración dentro de las modificaciones estructurales de las sociedades mercantiles la figura ha tenido una estricta concepción liquidatoria, siendo regulada de manera limitada e incompleta. Afronta este trabajo el análisis de sus antecedentes y evolución normativa, sus elementos y sujetos intervinientes, así como del procedimiento a seguir, su otorgamiento en escritura pública, sus efectos y, en su caso, vías de impugnación. No hay que olvidar las comparaciones y diferenciación con otras figuras afines y la cita de una serie de escritos, formularios y documentos jurídicos prácticos.

[EN] The economic, organizational or production situation of the companies propitiates sometimes the necessity of reorganization or restructuring by means of procedures to transmit quickly and simple the economic units in exchange. The global transfer of assets and debit presents itself as a frequent and simple instrument in the transmission of companies. But up to coming to its current configuration inside the structural modifications of the mercantile societies the figure has had a strict liquidity conception, being regulated in a limited and incomplete way. There confronts this work the analysis of its precedents and normative evolution, its elements and fastened participants, as well as of the procedure to continue, its granting in public writing, its effects and, in its case, routes of contesting. It is not necessary to forget the comparisons and differentiation with other related figures and the call of a series of writings, forms and practical juridical documents
